The Sarbanes-Oxley Act Summary

With recent scandals and allegations of corporate misconduct, the federal government has implemented new accounting and auditing regulations for all publicly traded companies. On July 30, 2002, President Bush signed into law the Sarbanes-Oxley Act. Interpretations of this Act and final requirements are still forthcoming.

Section 301 of the Sarbanes-Oxley Act requires each audit committee of a public company to establish procedures for the receipt of confidential and anonymous submissions by employees regarding questionable accounting or auditing matters. This "whistleblower" provision now requires employers to provide all employees with a safe way to give anonymous feedback. While the law does not specify whether the feedback system be internally or externally administered, employees may question the extent to which an internally administered system is confidential and anonymous.
